Business Diagnostic Assessments


            A Business Diagnostic Assessment is usually requested by the client executive who desires to obtain an objective and independent opinion on some area or the overall state of their business.   This assessment is where the major issues are identified, quantified, and then organized into an improvement plan.

Our assessments are designed to be objective and are usually completed in a 10 to 60 day time frame depending on the scope and the size of the business. As part of this diagnostic assessment, we:

1.     Benchmark your operations against high performance organizations, summarize your organization’s strengths and weaknesses; and

1.     Report the findings in terms of accomplishment variances.

 With each accomplishment variance, we identify the material impact that this difference is having on your operations. Examples include the impact loss of income or sales or unsatisfactory customer service.  We then recommend changes to close the variance, including a business case for the change, and a "road map" to implementation.

             The goal of Strategic & Market Planning is to step back and re-assess your activities as an organization, "Where are we going and how are we going to get there?? When you have completed your planning process, your entire organization should be aligned to answer the key questions. Many are critical go-to-market questions

 

             Our strategic planning process follows a methodology based on:

 

·         Extensive use of market and current position data, broad stakeholder involvement:

·         A systematic review of the organization's current strengths, weaknesses, opportunities, and threats (SWOTs), and

·          A "building block" approach to developing a specific strategy which makes sense for the client's market situation.

 

          When the planning is completed, there is broad agreement on organizational mission and goals, the market facing strategies, the execution requirements, and how to go about implementation including the role of new investments.

              We position ourselves as supporting your lawyers & accounts in the due diligence process. We have primarily addressed the non-financial and non-legal issues in our due diligence reviews.

 

               Generally we find issues in such area as:

 

1.    Potential over-optimistic revenue projections from an operational perspective by the acquired company;

2.    Product documentation; market positioning & customer related issues that may be overlooked in normal circumstances;

3.    Poor initial integration planning; and

4.    Overlooked future management change issues.

Strategic Planning Project Examples

1.    Developed and implemented a Strategy for Growth for a Technology Company specializing in Customer Relationship Management software. This included repositioning its' product in the marketplace, finding strategic investors & partners, and developing other strategic changes to generate revenue and restructure costs.

 

2.    Developed a comprehensive Sales & Marketing Alliance Strategy for a major

Software Company. This included selecting portfolio of partners that fit the company’s product strategy for its Master Data Management MDM, Supplier Relationship Management SRM.

 

3.    Designed and implemented a Solution-Driven Convergent Sales Strategy for a startup communications service provider that helped increase the company’s value. This effort resulted in increased sales, reduced closing time, and an improved customer "hit rate". This effort helped position the company for a successful sale at a greater value than anticipated. 

 

4.    Sourced, Negotiated, and Executed a Strategic Partnership for a Technology Company that wished to establish private label technology platform to enhance penetration of Tier 2 and 3 insurance carriers. The results were an increase in projecting revenue of $30M over a 5 year period.

 

 

5.    Designed the end-to-end business architecture that defined all major business processes in the delivery of wholesale internet access service in a global market For a Satellite Manufacturer planning new service entry into the market for internet access services.

 

6.    Developed and implemented a Product & Alliance Strategy for Growth for a software company specializing in Web-based applications development software. This included finding additional financing; repositioning its' product in the marketplace; and finding additional strategic partners.

 

 

7.    Completed a Competitive Analysis that defined industry best practices for supporting enterprise customers for a High-Tech Data Solutions Company

 

8.    Developed, Negotiated, and Closed an Offshore Partnership for a technology services company resulting in annual software delivery cost savings of 40%-50%

9.    Identified and negotiate a new Strategic Sales Alliance for a privately owned "startup" Software Company. This new alliance generated over $10 Million in new sales within the first 18 months. It also added additional value to the strategic partner by supplementing its' "go to market" strategy.

 

10.  Developed and implemented a Strategy for Growth for a Technology Company specializing in the Product Management Information Systems software. This included repositioning its' product in the marketplace, finding strategic partners, and developing other long term strategic changes to generate revenue and restructure costs.

 

 

11.  Developed and implemented a Strategy for Growth for a technology company specializing in Web-based applications development software. This included finding additional financing; repositioning its' product in the marketplace; and finding additional strategic partners.

 

12.  Designed and assisted in executing a Solutions-Driven Sales Strategy for a Technology Software Company that resulted in significantly increasing sales and contributed to the company's ultimate sale at a much better than expected valuation. Previous to this project there were no interested buyers. The project included repositioning its' software products in the marketplace, including marketing and sales support, to change its' position in the marketplace. 


M&A & Litigation Support Project Examoles

1.    Evaluated a Potential Investment in Software Company for a Venture Capital Investor. We worked with the investor team and lead the due diligence effort including reviewing the target market, evaluated company operations; determined the technical condition of the software (including software documentation and performance) and the future plans for the management.

 

2.    Assisted in the Sale of a Technology Company for a Venture Capital Investor. We led the effort by using our methodology to develop the future sales strategy; identified potential buyers; and assisted in the sale. The seller’s receiver a greater than expected return.

 

 

3.    Completed an Information Technology Due Diligence effort for a major Cable Service Provider to assess the acquisition of a large Communications Service Provider. Effort reviewed database compatibility, quality of applications, application architecture, organization, et al.

 

4.    Created corporate development process and methodology and managed the process from sourcing transactions through post-deal integration for $1B public automotive services company.

 

 

5.    Estimated Financial Effects of Potential Communication Service Provider mergers and analyzing a carrier’s value as acquisition targets for a Large Investor.

 

6.    Evaluated the business plan for a start-up Provider of Fixed Wireless Services for an Investment Bank. Evaluated the technology plan and worked with the service provider to refine assumptions regarding coverage areas and related investment requirements.

 

 

7.    Performed Technical Due Diligence on a wireless technology and PCS company for a Foreign Investor.
